### 1. Services
- ZeroBS Events provides event management and related services as outlined in the service agreement signed between ZeroBS and the Client. The scope of services will be clearly defined in the service agreement or proposal accepted by the Client.
### 2. Quotations and Proposals
- All quotations and proposals provided by ZeroBS are valid for 10 calendar days unless stated otherwise. Prices quoted are subject to change after this period unless the Client has accepted the proposal within the validity period.
### 3. Booking and Payment
- A deposit between 25 - 50% of the total cost is required to confirm the booking of our services. The exact percentage will be specified in the service agreement. The remaining balance is due 7 days before the event date. A final balance invoice will be send after the event and is due within 10 calendar days.
- Payments can be made via bank transfer or any other method agreed upon in writing.
- Failure to pay the balance by the due date may result in the cancellation of services without refund of the deposit.
### 4. Cancellation and Refunds
- Cancellations by the Client must be made in writing.
The following cancellation fees apply:
- More than 90 days before the event: 25% of the remaining quoted total costs.
- Between 89-31 days before the event: 50% of the remaining quoted total costs.
- Less than 30 days before the event: No refund.
- In the event of cancellation due to unforeseen circumstances, ZeroBS may, at its discretion, provide the Client with a partial refund based on the percentage of services already rendered.
No full refund will be issued unless deemed appropriate by ZeroBS.
### 5. Liability
- ZeroBS will make every effort to provide the services as agreed, but shall not be held liable for any delay, failure, or damages due to circumstances beyond our control, including but not limited to natural disasters, strikes, global pandemics or governmental restrictions.
- The Client agrees to indemnify and hold harmless ZeroBS from any claims, damages, or expenses arising from the event, except those resulting from the gross negligence or wilful misconduct of ZeroBS.
### 6. Changes to the Event
- Any changes to the event details must be communicated to ZeroBS in writing as soon as possible. ZeroBS will accommodate changes where feasible but reserves the right to charge additional fees for significant changes or last-minute alterations.
- Any material changes to the quoted and agreed-upon number of hours shall be promptly communicated to the client at the earliest opportunity.
### 7. Intellectual Property
- All intellectual property rights in materials created by ZeroBS for the event, including but not limited to designs, plans, and concepts, remain the property of ZeroBS unless otherwise agreed in writing.
### 8. Governing Law
- These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in the Netherlands.
### 9. Confidentiality
- ZeroBS agrees to keep all Client information confidential and not to disclose any details to third parties without the Client's consent, except as required by law or necessary for the performance of our services.
### 10. Amendments
- ZeroBS reserves the right to amend these Terms at any time. The Client will be notified of any changes in writing, and continued use of our services following such notification will constitute acceptance of the amended Terms.
### 11. Entire Agreement
- These Terms, together with the service agreement and any other documents referred to herein, constitute the entire agreement between ZeroBS and the Client.
